1. Scope of Work
The Designer shall provide the Artist/Client with a detailed Scope of Work as outlined in Exhibit A (“Project Description”). The Artist shall perform creation and delivery of fiber art products or services as specified. Changes require written consent from both Parties.
2. Deliverables
The Artist shall deliver the final agreed-upon work as described in Exhibit A, including but not limited to:
- Physical fiber art products
- Design drawings or digital files
- Samples or prototypes
- Other mutually agreed deliverables
Delivery deadlines and milestones are detailed in Exhibit A.
3. Compensation and Payment
Deposit (50%): 0
Balance (50%): 0
Payment method: Invoice will be sent with all available options. Late payments incur 2% per month on overdue amounts. Pre-approved expenses will be reimbursed.
4. Intellectual Property
- Upon full payment, the Artist grants the Designer a [exclusive/non-exclusive] license to use final designs.
- Artist retains copyrights to preliminary concepts, unused material, and proprietary techniques.
- The Designer shall not modify or resell work without permission.
- Third-party materials must have appropriate licensing.
5. Ownership of Materials and Supplies
Artist provides their own materials unless agreed otherwise. Designer shall not use Artist’s materials without consent.
6. Confidentiality
Both Parties agree to keep proprietary information confidential except as required by law.
7. Collaboration and Credit
- Designer provides timely feedback and resources.
- Artist provides progress updates.
- Artist receives proper credit per Exhibit B.
- Both Parties commit to prompt communication.
8. Termination
Either Party may terminate with [number] days’ notice. Designer pays Artist for completed work and development time. Completed work is delivered; confidential materials returned or destroyed.
9. Indemnification
Each Party indemnifies the other from claims arising from breach or negligence.
10. Limitation of Liability
No Party is liable for indirect/consequential damages except in cases of gross negligence.
11. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Ontario, Canada. Disputes resolved via mediation then arbitration in Ontario.
12. Entire Agreement and Amendments
This Agreement and Exhibits constitute the complete agreement. Amendments require written consent.
Exhibit A – Project Description and Scope of Work
Exhibit B – Credit and Publicity
1. Artist Credit: Brandon Wulff, BWulffandCo shall receive proper credit for all work created under this Agreement in all public-facing content.
2. Form of Credit: Name and business as above.
3. Placement and Scope: Physical products, exhibitions, online platforms, marketing materials.
4. Permissions: Designer must obtain written approval prior to any use beyond project scope.
5. Promotional Collaboration: Both Parties may collaborate on joint publicity with mutual approval.
6. Changes: Any changes to credit/publicity require mutual written consent.
